  MPIB has replied to KLSE's query on an article appearing in the Malay Mail, Mail Money, page 23 on Thursday, 20 November 2003. The reply is as follows: -
Amkor has stated in its website that it has filed a complaint against Carsem (M) Sdn Bhd, Carsem Semiconductor Sdn Bhd and Carsem Inc. ("Carsem Group") with the USA International Trade Commission ("ITC") alleging infringement of three of their Micro Lead Frame patents and has requested ITC to conduct an investigation. To date, Carsem Group has not been served with such complaint. We believe that this action by Amkor is unwarranted. If the ITC does elect to proceed, Carsem Group will vigorously defend its right to use the technology it has developed.

  MPI has declared a first interim dividend of 15 sen per share tax exempt to be paid on 24 December 2003.
The entitlement date is 12 December 2003 4pm while the ex-date is 10 December 2003.

  MPI recorded a Profit Before Tax of RM22.1Million for the first quarter ended 30 September 2003.

  Shareholders of the Company had approved all the ordinary and special businesses as set out in the notice of the 42nd AGM of the Company held on 29 October 2003 and approved the ordinary resolutions at the EGM convened immediately after the conclusion of the 42nd AGM.

  An Extraordinary General Meeting of MPI will be held at the Theatrette, Level 1, Wisma Hong Leong, 18 Jalan Perak, 50450 Kuala Lumpur on Wednesday, 29 October 2003 immediately upon the conclusion of the 42nd Annual General Meeting of the Company to be held at 10.15 a.m.

  MPI will be seeking the approval of its shareholders for the following proposals at a general meeting to be convened:-
1. Proposed renewal of authorisation for the Company to purchase its own shares in accordance with Section 67A of the Companies Act, 1965; and
2. Proposed renewal of shareholders' mandate for recurrent related party transactions of a revenue or trading nature
 

A circular containing the details on the Proposals will be issued to the shareholders of the Company in due course

  MPI and/or its subsidiary, MPI (BVI) Limited ("MPI (BVI)") propose to undertake the disposal of up to 4,655,000 ordinary shares of RM1.00 each, representing up to 0.45% of the issued and paid-up share capital of Hong Leong Credit Berhad.

  MPI will place Techad Sdn Bhd (formerly Known As Carsem Advanced Technologies Sdn Bhd) ("Techad"), a wholly-owned subsidiary of the Company, under Member's Voluntary Winding-up pursuant to Section 254(1)(b) of the Companies Act, 1965. Mr Ling Kam Hoong (I.C. No. 391019-08-5069) of Messrs Ling Kam Hoong & Co., No. 6-1, Jalan 3/64A, Udarama Kompleks, Off Jalan Ipoh, 50350 Kuala Lumpur will be appointed as liquidator of Techad. Techad is currently a dormant company and there are no future plans to activate it.

  MPI's wholly-owned subsidiary, MPI (BVI) Limited, had on 21 July 2003, disposed of a total of 7,990,000 ordinary shares of RM1.00 each representing 0.77% of the issued and paid-up share capital of Hong Leong Credit Berhad, for a total cash consideration of RM34,322,243.00.

  Further to MPIB's announcement dated 10 March 2003 in connection with the Member's Voluntary Liquidation of Dyna-Craft Marketing, Inc ("DCMI"), a corporation incorporated in California and a wholly-owned subsidiary of MPIB, MPIB now inform that it had on 26 June 2003, received certification from the Secretary of State of California that DCMI had been dissolved. Accordingly, DCMI had ceased as a subsidiary of the Company.

The resolution pertaining to the Proposed Transfer of 70% and 30% equity interests in Carsem Semiconductor Sdn Bhd from Malaysian Pacific Industries Berhad ("MPI") and Permodalan Nasional Berhad respectively to Carsem (M) Sdn Bhd, a 70% subsidiary of MPI, for a total cash consideration of RM180 Million, had been approved by the shareholders of MPI at the Extraordinary General Meeting convened.

Malaysian Pacific Industries Berhad's (MPI) 70% subsidiary, Carsem (M) Sdn Bhd ("CM") has on 2 May 2003 entered into a Share Purchase Agreement with MPI and Permodalan Nasional Berhad ("PNB") for the proposed acquisition by CM of the entire share capital comprising 100,000,000 ordinary shares of RM1.00 each in Carsem Semiconductor Sdn Bhd ("CS") from MPI and PNB, for a total cash consideration of RM180 million.

Malaysian Pacific Industries Berhad had, on 28 February 2003, placed Dyna-Craft Marketing, Inc ("DCMI"), a corporation incorporated in California and a wholly-owned subsidiary of the Company, under member's voluntary winding-up pursuant to Section 331 of the Internal Revenue Code of the United States of America. Pursuant to Section 1905 of the California Corporation Code, Mr Chris Loo of 208 South 1st St. #306 Alhambra, CA 91801 has been appointed as the local agent to assume all known debts and liabilities including any tax liabilities of DCMI.

MPI clarified to the KLSE that it is not in discussion to buy International Bank of Asia Limited, a bank listed on the Hong Kong Stock Exchange, in response to the Exchange's query to the company on an article published in a local newspaper.
